1. Acceptance
These Terms are an agreement with Midnite Studio, Inc., a Delaware C corporation. By accessing or using a Midnite Studio service, you agree to these Terms. If you do not agree, do not use the service. Additional platform or product terms may also apply.
2. Eligibility
You must be legally able to agree to these Terms. If you are below the age at which you may consent on your own, a parent or legal guardian must review and accept these Terms for you. Platform age requirements still apply.
3. Accounts and connected platforms
When you play a game through Roblox, use Roblox features, or deliberately connect a TikTok or other third-party account, the relevant platform's terms, privacy policy, technical rules, and account controls also apply. You authorize us to access only the permissions shown during a connection process and to use them only to provide the feature you request.
You are responsible for your platform account, its security, and authorized activity performed through it. You may revoke a connected-app authorization through the third-party platform's settings. A platform may separately limit, suspend, or remove access under its own terms.
4. Roblox-specific terms
For any Midnite Studio service accessed through, distributed on, or connected with Roblox:
- You must comply with the Roblox Terms of Use, Roblox Community Standards, and other applicable Roblox rules.
- These Terms form an agreement between you and Midnite Studio only, not between you and Roblox.
- Roblox is not affiliated with Midnite Studio or our service and does not sponsor or endorse us unless Roblox expressly states otherwise.
- Roblox is not responsible or liable for our service or your use of it and has no obligation to provide maintenance, support, or other services for it.
- To the fullest extent permitted by applicable law, you waive and release claims, liabilities, damages, losses, and expenses against Roblox arising from or related to our service or your use of it.
Roblox controls Roblox accounts, Robux, platform transactions, payment processing, refunds, moderation, enforcement, and platform availability. In-experience benefits sold through Roblox are offered through Roblox systems and settle in Robux. Midnite Studio cannot delete a Roblox account, issue Robux, reverse Roblox enforcement, or promise a platform refund. 5. Acceptable use
You may not:
- Break any law, these Terms, or applicable platform rules.
- Harass others, exploit minors, impersonate people, or submit illegal, deceptive, abusive, or infringing content.
- Interfere with security, bypass access controls, introduce malicious code, scrape restricted data, or overload a service.
- Use an integration to publish or access content without the account holder's authorization.
- Reverse engineer or copy protected parts of a service except where law expressly allows it.
6. Your content and instructions
You keep ownership of content you submit. You give Midnite Studio a limited, non-exclusive license to host, process, display, and transmit that content only as needed to operate, secure, and improve the service or complete an action you request. You confirm you have the rights and permissions needed for content you submit or publish.
You remain responsible for reviewing content before publishing it through a connected platform.
7. Midnite Studio property
Our services, games, software, artwork, branding, and other materials are owned by Midnite Studio or its licensors and are protected by intellectual-property laws. These Terms give you a personal, limited, revocable, non-transferable right to use the service as provided; they do not transfer ownership.
8. Third-party services
Third-party platforms operate independently and have their own terms, privacy policies, availability, and technical rules. Midnite Studio is not responsible for a third party's service, content, account decisions, or platform-controlled transactions.
9. Privacy
Our Privacy Policy explains how we handle information, including Roblox game information and connected-platform data. Our Data Deletion page explains how to revoke a connection and request deletion.
10. Changes, suspension, and termination
We may change, suspend, or discontinue a service, or restrict access when reasonably needed for security, legal compliance, platform compliance, maintenance, or enforcement of these Terms. You may stop using a service at any time and revoke connected-platform access.
11. Disclaimers
To the fullest extent permitted by law, services are provided "as is" and "as available." We do not guarantee uninterrupted operation, compatibility with every device or platform, preservation of game progress where a platform controls it, or that every error will be corrected. Nothing here excludes warranties or consumer rights that cannot lawfully be excluded.
12. Limitation of liability
To the fullest extent permitted by law, Midnite Studio and its directors, employees, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of data, profits, goodwill, or opportunity arising from use of a service. Where liability cannot be excluded, it is limited only to the extent allowed by applicable law.
13. Disputes and applicable law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. This choice does not override mandatory consumer protections or rights that apply where you live.
Unless applicable law gives you the right to use another forum, disputes must be brought in the state courts located in Kent County, Delaware or, where federal jurisdiction exists, the United States District Court for the District of Delaware. Before filing a claim, contact us so we can try to resolve the issue informally.
14. Changes and contact
We may update these Terms as our services or obligations change. We will revise the date above and provide additional notice when required.
